1. Agreement to These Terms
This website is owned and operated by Barnsley Holdings LLC, a Wyoming limited liability company doing business as Adsorise (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of adsorise.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
2. Eligibility
The Site and the services described on it are intended for businesses. You must be at least eighteen (18) years of age to use the Site. If you use the Site or request Services on behalf of a business, you represent that you are authorized to act on behalf of that business and to bind it to these Terms.
3. Services
The Company provides paid advertising management, advertising creative, landing page production, and product and market research for e-commerce businesses (the “Services”). The Site describes the Services and allows prospective clients to request a consultation. Services are provided only pursuant to a written services agreement executed by the Company and the client (the “Services Agreement”). In the event of any conflict between these Terms and a Services Agreement, the Services Agreement shall control.
4. Consultation Requests
Submitting a consultation request through the Site does not create a client relationship or obligate the Company to provide Services. The Company reserves the right to decline any request at its discretion. Information provided during a consultation is for general informational purposes only and does not constitute a guarantee, warranty or commitment of any kind.
5. Fees and Payment
Fees for Services are set out in the applicable Services Agreement. Unless otherwise agreed in writing, management fees are billed monthly in advance. Advertising spend is paid by the client directly to the relevant advertising platform through accounts owned by the client; the Company does not collect, hold or disburse advertising spend on the client’s behalf. Refunds and cancellation are governed by the Company’s Refund Policy.
6. Client Accounts and Deliverables
Services are performed within advertising accounts owned and controlled by the client. The client retains ownership of such accounts and all data contained in them. Advertising creative, landing pages and other deliverables produced by the Company for a client become the property of the client upon payment in full of the fees relating to them. The Company retains ownership of its pre-existing materials, tools, templates, methods and know-how, and of any general skills and knowledge acquired in performing the Services.
7. No Guarantee of Results
Advertising performance depends on factors outside the Company’s control, including the client’s products, pricing, website, market conditions, competition and the policies and systems of third-party advertising platforms. The Company does not guarantee any particular level of sales, revenue, return on advertising spend or other result. Any campaigns, product names, figures or dashboards shown on the Site are illustrative examples only and do not represent the results of any actual client.
8. Third-Party Platforms
The Services involve the use of third-party advertising platforms, including Meta, Google and TikTok, each of which is governed by its own terms and policies. The Company is not responsible for the actions, decisions, outages or policy changes of any third-party platform, including the rejection of advertisements or the restriction or suspension of accounts.
9. Use of the Site
You agree not to use the Site for any unlawful purpose; to interfere with or disrupt the Site or its servers; to attempt to gain unauthorized access to any part of the Site; to use any automated means to access or collect content from the Site; or to submit false, misleading or infringing information through the Site. Businesses the Company does not serve, and advertising practices it does not engage in, are described in the Acceptable Use Policy.
10. Intellectual Property
The Site and its content, including text, graphics, logos, design and underlying code, are owned by the Company or its licensors and are protected by copyright, trademark and other intellectual property laws. The Adsorise name and logo are trademarks of the Company. No license to use any Site content is granted except as expressly stated in these Terms.
11. Third-Party Websites
The Site may contain links to third-party websites. Such links are provided for convenience only. The Company does not control and is not responsible for the content, policies or practices of any third-party website.
12. Disclaimer of Warranties
Except as expressly set out in a Services Agreement, the Site and all information on it are provided “as is” and “as available” without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose and non-infringement. The Company does not warrant that the Site will be uninterrupted or error-free.
13. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including loss of profits, revenue or data, arising out of or in connection with the Site or the Services. The Company’s maximum aggregate liability arising out of or relating to the Site or the Services shall not exceed the greater of (a) the fees paid by the client to the Company in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
14. Indemnification
You agree to indemnify and hold harmless the Company and its members, officers and employees from any claim, loss or expense, including reasonable attorneys’ fees, arising from your breach of these Terms or your violation of any law or third-party right.
15. Force Majeure
The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, labor disputes, internet or telecommunications failures, or the acts or omissions of third-party platforms.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
17. General Provisions
These Terms, together with the Privacy Policy, the Refund Policy and the Acceptable Use Policy, constitute the entire agreement between you and the Company regarding use of the Site and supersede any prior understandings with respect to the Site. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Changes to These Terms
The Company may revise these Terms at any time by posting the revised Terms on the Site. The “Last updated” date at the top of this page indicates when the Terms were last revised. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.
